01

The agreement

In shortUsing PubsNest means you accept these terms. If you don't, stop using it.

PubsNest operates a rewarded offerwall, an Offers API and the dashboards that go with them (together, the Service). We are registered in Delaware, United States, and in England & Wales, United Kingdom.

By creating an account, embedding the offerwall, calling the API or spending budget through us, you agree to these terms on behalf of yourself and of the company you represent. If you are agreeing for a company, you confirm you are allowed to bind it.

We may change these terms. Material changes are announced in the dashboard at least fourteen days before they take effect, and the version number and date at the top of this page always tell you which text is in force. Carrying on after that date means you accept the new version; if you don't, close your account before it starts.

02

Accounts and who may open one

In shortOne real account per company, real details, and you are responsible for what happens under it.

You must be at least eighteen years old and legally able to enter into contracts. Accounts are opened under a real name or a real registered company, with a contact address we can reach and payout details that belong to you.

  • Keep your details current. Payouts that fail because of stale details are not our problem to fix retroactively.
  • One account per publisher or advertiser. Extra accounts opened to get around a decision of ours may all be closed.
  • Credentials, API keys and postback secrets are yours to protect. Anything done with them counts as done by you until you tell us they are compromised.
  • Approval is at our discretion, and so is the decision to keep an account open. We don't have to explain a refusal, though we usually will.
03

The traffic you send

In shortReal people, on the property you registered, doing things because they want to.

Every conversion you send us should come from a human being who chose to complete an offer on a property we approved. That is the whole deal; everything in this clause follows from it.

The following will get conversions rejected and, repeated, will get the account closed:

  • Bots, scripts, click farms, emulators and automation of any kind.
  • Incentivised completions disguised as organic, or offers run on a property other than the one registered for that placement.
  • Traffic routed through proxies or VPNs to appear in a country it is not in.
  • Users you created, controlled or paid to convert, including your own accounts.
  • Forced clicks, hidden iframes, auto-redirects, misleading rewards or anything that makes a user complete an offer without understanding it.
  • Properties carrying adult, hateful, pirated or illegal material, or traffic acquired from such properties.

You are responsible for your sub-publishers and traffic sources as if they were you. If you resell our offerwall, their breaches are your breaches.

04

Offers, payouts and your currency

In shortOffers change constantly, payouts are what the dashboard says at the moment of conversion.

The catalogue is not fixed. Offers appear, change payout, change targeting and disappear without notice, because the advertisers behind them do the same. Caps can be reached mid-day and a country can be closed at any time.

The payout that counts is the one recorded on the conversion in your reports. Screenshots, cached API responses or an older figure in a spreadsheet do not override it.

You set your own exchange rate between our payout and the virtual currency your users receive, and you are responsible for what you promise them. Our obligation is to you, not to your users: we do not owe your users coins, and complaints about your rate or your rewards go to you.

Offer content — titles, descriptions, images and requirements — belongs to the advertisers. Show it as delivered. Do not rewrite requirements, invent payouts or promise outcomes an offer does not include.

05

Validation, holds and reversals

In shortA conversion is money only once it survives validation, and an advertiser can still take it back.

Conversions arrive from advertisers by server-to-server postback and go through our checks: device and network signals, duplicate detection, country consistency, velocity, and whatever rules the advertiser applies on their side.

A conversion can sit on hold while that runs. Holds are normal and are not an accusation; most clear by themselves.

Advertisers can reverse a conversion after it has been approved — for chargebacks, refunds, uninstalls, fake users or their own fraud review. When that happens we reverse it too, and the amount comes off your balance, including after it has been counted in a period. If your balance has already been paid out, the amount is deducted from the next one.

We can withhold or cancel earnings linked to traffic we judge to be invalid. Where we can do so without exposing an advertiser's detection methods, we will explain why. Our determination on invalid traffic is final.

06

Getting paid

In shortNet 30 by default, minimum threshold, you handle your own taxes.
Default terms
Net 30 from the close of the period in which the conversion was approved. Net 60 is available on some placements at a higher rate.
Minimum
Balances below the threshold shown in the dashboard roll over to the next period.
Methods
The payout methods listed in your account. Fees charged by the payment provider are yours.
Disputes
Raise any disagreement with a statement within sixty days of it being issued.

Payouts are made in US dollars unless agreed otherwise. You are responsible for your own taxes, registrations and any withholding that applies where you live; nothing here makes us your employer, partner or agent.

We can pause a payout while we investigate suspected invalid traffic, a breach of these terms, or a legal or compliance requirement. We will tell you when a payout is paused and what we need from you.

07

If you are an advertiser

In shortFund the campaign, track honestly, pay what the platform records.

Campaigns run against a funded balance or against agreed invoice terms. When the balance is spent the campaign stops. Budgets, caps and targeting are yours to manage, and you are liable for spend that occurs while they are set wide.

Your tracking must be accurate and your postbacks must fire for every event you intend to pay for. Where our records and your tracker disagree, our records govern billing, unless you can show a defect in our measurement within thirty days of the statement.

What you promote must be lawful, must deliver what it advertises, and must not carry malware, deceptive flows or hidden subscriptions. Landing pages and offer requirements must stay consistent with what was approved; changing them mid-flight without telling us is a breach.

Reversals must be raised promptly, with evidence, and in good faith. Systematic reversal of valid conversions is grounds for us to stop your campaigns and settle what is owed to publishers out of your balance.

08

Fraud and what we do about it

In shortWe investigate, we can freeze, and we can hand evidence to the affected advertiser.

When we suspect fraud we may suspend an account, pause payouts, reverse earnings, remove offers, or require identity verification before anything moves again. We may share the evidence with the advertiser whose budget was affected, and with law enforcement where the law requires it.

We are not obliged to disclose detection methods, signals or thresholds — doing so would simply teach the next person how to get past them.

If we were wrong, we fix it: amounts wrongly withheld are released in the next cycle.

09

The platform, the API and your integration

In shortYou get a licence to use it, not to copy it, and it may change.

We grant you a non-exclusive, non-transferable, revocable right to use the offerwall, the API and the dashboard for your own business while your account is open. Everything else — the software, the interface, the documentation, the marks — stays ours.

You may not copy, decompile or rebuild the Service, scrape the catalogue beyond the documented endpoints, resell access to the API, or present the platform as your own product unless we have agreed to a white-label arrangement in writing.

API limits, endpoints and formats are documented and may change; breaking changes are announced in advance where practical. Keep your integration current. We don't guarantee uninterrupted service and we schedule maintenance when we need to.

Features marked as beta are exactly that: they can break, change or be withdrawn, and they come with no warranty at all.

10

Data and privacy

In shortEach of us is responsible for the data we handle; tell your users what you pass on.

How we handle personal data is set out in our Privacy Policy, which forms part of these terms.

If you place the offerwall, you decide what identifier you send us for your users and you are responsible for having a lawful basis to send it, for your own privacy notice and for collecting consent where it is required. Do not send us special category data, payment card data or more personal data than the integration needs — a pseudonymous user id is enough.

Each party acts as an independent controller for the data it determines the purposes of, and both of us will keep the security measures appropriate to it.

11

Warranties and liability

In shortService as-is; our exposure is capped at what passed through your account in the last three months.

The Service is provided as it is. We do not promise particular earnings, fill rates, conversion rates, offer availability or uptime, and we do not guarantee the conduct of advertisers or of your users.

To the extent the law allows, neither party is liable for indirect or consequential loss, lost profits, lost data or lost business opportunity. Our total liability for any claim is limited to the amounts paid to you, or paid by you to us, in the three months before the claim arose.

You will indemnify us against claims arising from your traffic, your property, your users, your tax position or your breach of these terms. Nothing here excludes liability that cannot lawfully be excluded, including fraud.

12

Suspension and ending the agreement

In shortYou can leave whenever; we can suspend immediately for cause.

You may close your account at any time from the dashboard. Validated earnings above the minimum are paid on the normal schedule once the last conversions have cleared their validation window.

We may suspend or close an account immediately for invalid traffic, a serious breach of these terms, a legal requirement, or non-payment by an advertiser. Where the breach is minor and fixable, we will ask you to fix it first.

On termination for invalid traffic or fraud, unpaid balances tied to that traffic are forfeited and reversed to the affected advertisers. Clauses that are meant to survive — fraud, liability, indemnity, data and governing law — survive.

13

Law, disputes and the small print

In shortEngland & Wales or Delaware, depending on where you are; talk to us before you sue.

If you are based in the United Kingdom, the European Union or elsewhere outside the Americas, these terms are governed by the law of England & Wales and the courts of England & Wales have exclusive jurisdiction. If you are based in the Americas, they are governed by the law of the State of Delaware and the state and federal courts sitting in Delaware have exclusive jurisdiction.

Before starting proceedings, write to us and give us thirty days to resolve the matter. Most disputes are a reporting discrepancy and are settled by looking at the logs together.

If a clause is held invalid, the rest stays in force. Not enforcing a right once does not waive it. You may not assign this agreement without our written consent; we may assign it as part of a corporate transaction. These terms, with the Privacy Policy and any written offer or insertion order, are the whole agreement between us.

Something here unclear?

Ask before you integrate. A five-minute answer is cheaper than a reversed month.
